RULES FOR PURCHASE AND USE OF GIFT CARDS OF IMPERIAL DUTY FREE JSC SHOPS FOR INDIVIDUALS

1. General

1.1. These Rules for Purchase and Use of Imperial Duty Free JSC Shops for Individuals (hereinafter referred to as the “Rules”) shall be supplemental to the information placed on Gift Cards and binding on persons who purchase the Gift Cards and/or present their Gift Cards in the Company’s Shops.

1.2. Imperial Duty Free Joint Stock Company (also the “Company” or “GC Seller”) located at (according to foundation documents): territory of Sheremetyevo International Airport, Aeroexpress Center, room 5 (5.122), Khimki, Moscow Region, 141400 Russian Federation, OGRN 1135047010955, INN 5047146741, KPP 783450001, a/c 40702810938000065936 with Sberbank of Russia PJSC, 19 Vavilova Str., Moscow, tel.: +7 (495) 229-32-07, issues and sells its own Gift Cards according to the terms and conditions set forth herein.

2. Terms and Definitions Used in These Rules

Gift Card (GC) means a material carrier of information on a plastic card certifying the Bearer’s right to purchase Goods in the Company’s Shops for an amount equivalent to the GC Nominal Value. The Gift Card must be returned to the GC Seller at the time of payment for Goods in the Shops using the GC.

Sheremetyevo Travel Retail Heinemann Shops (also “Shops”) mean duty paid shops of Sheremetyevo Travel Retail Heinemann located in the territory of Sheremetyevo International Airport in Terminal B and Terminal D in the domestic flight departures and arrivals area.

Goods mean any products provided for sale in Sheremetyevo Travel Retail Heinemann Shops (Imperial Duty Free JSC) in the range and for the prices as of the date of purchase using a GC as payment means within the GC Nominal Value.

GC Nominal Value (also a “Nominal Value”) means the maximum amount in Roubles, for which the GC Bearer may purchase the Seller’s Goods upon presenting a GC in Sheremetyevo Travel Retail Heinemann Shops.

GC Seller (also the “Seller”) means Imperial Duty Free JSC which carries out the sale of GCs that are accepted for the payment for Goods purchased in Sheremetyevo Travel Retail Heinemann Shops.

GC Purchaser (also a “Purchaser”) means an individual who purchases a GC. When a GC Purchaser and a GC Bearer are the same person, the person shall be bound by the terms and conditions set forth in these Rules both for a GC Purchaser and a GC Bearer.

GC Bearer (or a “Bearer”) means an individual who legally owns and disposes of a GC received from a GC Purchaser and is entitled to purchase Goods for personal, family or other use not related to business activities in Sheremetyevo Travel Retail Heinemann Shops using a GC as means of payment within the GC Nominal Value.

GC Sale Date is determined as the date of sale of the GC to the Purchaser as specified in the sales slip certifying the payment for the GC.

GC Balance means a difference between the amount deposited by the Purchaser at the time of purchase determined as the GC Nominal Value and the cost of Goods purchased.

3. Terms and Conditions of Use of a GC

3.1. A GC certifies that a GC Bearer is entitled to purchase Goods in Sheremetyevo Travel Retail Heinemann Shops, the cost of which is less than or equal to the GC Nominal Value, and is free of the necessity to pay any cash amount equal to the GC Nominal Value at the Company’s cash desk (to the Company’s account) to purchase the Goods. A GC certifies the Company’s counter obligation to accept the GC from a Bearer as payment for Goods in Sheremetyevo Travel Retail Heinemann Shops within the GC Nominal Value during 3 years. A GC Bearer may purchase any Goods in the Shops, however, the Bearer must pay any difference between the cost of the Goods purchased and the GC Nominal Value when the cost of the Goods exceeds the GC Nominal Value. When using a GC to purchase Goods, the GC Bearer and the Seller shall enter into a retail sale and purchase agreement.

3.2. A Bearer may not use a GC other than for purchasing Goods in Sheremetyevo Travel Retail Heinemann Shops solely for personal, family or other use not related to any business activities. A GC Bearer may not use (or allow any third parties to use) a GC to exchange for goods or services. A GC may not be re-sold or used other than as expressly provided for in these Rules.

3.3. No interest shall be accrued on the GC Nominal Value, Article 317.1 Para 1 of the Civil Code of the Russian Federation shall not be applicable. A GC purchase amount shall not be considered a commercial loan (Article 823 of the Civil Code of the Russian Federation).

3.4. The period when a GC may be used to purchase any Goods in Sheremetyevo Travel Retail Heinemann Shops shall be 3 (Three) years from the GC Sale Date.

3.5. A GC shall be issued for a bearer. A GC Purchaser may transfer a GC to a third party. The Seller shall not be liable for whom and on which terms and conditions a GC is transferred by a Purchaser or a third party (-ies). From the time of transfer of a GC to a third party, the Purchaser shall forfeit the right to claim a refund of the GC Balance and/or the GC Nominal Value from the GC Seller.

3.7. A GC may be used once or more times when purchasing Goods in the Shops until the GC Nominal Value is fully credited to the GC Seller, provided that the GC Nominal Value has not been spent under previous retail sale and purchase agreements as payment for Goods thereunder.

3.8. When the cost of Goods purchased by the GC Bearer is equal to or higher than the GC Nominal Value, the GC shall be returned at the time of entering into a retail sale and purchase agreement by the GC Bearer using the GC Card in the Seller’s Shops. When the cost of Goods is less than the GC Nominal Value, the GC Bearer shall have the right to receive a GC Balance in cash in Russian Rouble. If the GC Bearer wishes to have a GC Balance credited to his/her settlement account, a request for refund to a settlement account shall be made, with the GC being returned at the time of request. The GC Balance shall be credited to the GC Bearer’s settlement account within 14 business days from date of the request for refund.

3.9. When the cost of Goods purchased by a GC Bearer exceeds the GC Nominal Value, the GC Bearer shall additionally pay the Seller any difference between the cost of the Goods and the GC Nominal Value at the time of payment for the Goods using the GC by one of the means convenient for the GC Bearer: in cash and/or in a non-cash form, including by a bank card and/or by other payment means as provided for in the laws of the Russian Federation.

3.10. When paying for Goods in the same sales slip (retail sale and purchase agreement), one or more GCs can be presented; when more than one GCs are used at the same time, these Rules shall be applicable to all the GCs as to one GC (including the total GC Nominal Value (as the sum of nominal values of all GCs presented) used to pay Goods in Sheremetyevo Travel Retail Heinemann Shops).

3.11. Any exchange and/or return of substandard Goods or Goods of poor quality purchased using a GC shall be carried out according to the procedure provided for in the applicable laws of the Russian Federation and these Rules.

3.12. When returning Goods purchased using a GC with the cost of the returned Goods less than the GC Nominal Value or the GC Balance, the cost of the returned Goods shall be refunded in cash in Russian Rubles or to the GC Bearer’s settlement account within 10 calendar days from the date of the request to make a refund to the settlement account. The GC Balance may be spent according to these Rules. When the cost of Goods returned is equal to the GC Nominal Value or the GC Balance, the refund shall be made in cash in Russian Roubles or to the GC Bearer’s settlement account within 10 calendar days from the date of the request to make a refund to the settlement account; the GC shall not be returned to the GC Bearer. When the cost of the returned Goods purchased using a GC exceeds the GC Nominal Value, the refund in the amount of the cost of such Goods shall be made in cash in Russian Roubles or to the GC Bearer’s settlement account within 10 calendar days from the date of the request to make a refund to the settlement account; the GC shall not be returned to the GC Bearer.

3.13. Purchasing a GC, the GC Purchaser and/or GC Bearer acknowledges that he/she has read and irrevocably agrees with these Rules.

3.14. The Seller shall not be liable for any direct or indirect losses incurred by GC Purchasers or GC Bearers due to the use of GCs, including for unauthorized use of GCs, as GCs are issued for bearers and do not require any ID documents to be presented.

3.15. A GC Bearer may request the GC Seller to refund the GC Nominal Value in case of the GC Seller’s violation of any rights or legal interests of the GC Bearer.

4. Miscellaneous

4.1. These Rules may be supplemented and/or amended by the Company in its sole discretion at any time without a previous notice to GC Purchasers and/or GC Bearers. Upon such amendments, the relevant information shall be available at the Company’s website www.svo-dutyfree.ru and in Sheremetyevo Travel Retail Heinemann Shops. The Company shall not be liable for GC Purchasers’ and/or GC Bearers’ failure to read information on amendments to these Rules at the website, as well as GC Purchasers’ and/or GC Bearers’ failure to perform (in due time) their obligations provided for in these Rules.

4.3. The use of GCs is governed by these Rules. Presenting GCs to pay for Goods in Sheremetyevo Travel Retail Heinemann Shops, the GC Bearer irrevocably agrees with these Rules.

4.4. A GC Purchaser and/or GC Bearer is recommended to keep the sale receipt issued at the GC purchase for the whole validity period of the GC to confirm the GC Nominal Value in case if the GC is damaged or in any other disputable situations.
